Welcome to Lifecycle Telehealth BV ("Lifecycle Telehealth," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our websites, mobile applications, telehealth platform, and related services (collectively, the "Services"). By using our Services, you agree to these Terms. Please read them carefully.

I. Eligibility

You must be at least 18 years old to create an account and use our Services. By using our Services, you represent that you are legally capable of entering into these Terms and that the information you provide is accurate and complete.

II. Nature of Services

Lifecycle Telehealth BV provides telehealth services to patients in the European Union and the United Kingdom. All prescriptions are issued in compliance with EU and UK regulations and dispensed via approved local pharmacies.

We also partner with licensed healthcare providers and affiliates in other jurisdictions (including the United States) to deliver services.

We do not guarantee medical outcomes. The Services are intended to connect you with qualified providers, but decisions regarding your treatment rest solely with you and your provider.

III. Medical Disclaimers

Telehealth is not a substitute for emergency medical care. If you are experiencing a medical emergency, call your local emergency number immediately.

Services are provided by independent licensed providers. Lifecycle Telehealth BV does not practice medicine or control the practice of medicine by providers.

We are not liable for the professional judgment of healthcare providers delivering care through our platform.

IV. User Responsibilities

By using our Services, you agree to:

  • Provide accurate, current, and complete information.
  • Use the Services only for lawful and personal purposes.
  • Maintain the confidentiality of your login credentials.
  • Not misuse the Services (e.g., fraud, abuse, unauthorized access).
  • Comply with all applicable laws and regulations.

V. Provider Responsibilities

Providers using the platform must:

  • Hold and maintain valid professional licenses in their jurisdiction.
  • Provide accurate profile information and qualifications.
  • Deliver care in accordance with professional standards and local regulations.
  • Comply with Lifecycle Telehealth's policies, including privacy and security requirements.
  • Not misuse the platform, including attempting to solicit or divert patients away from Lifecycle Telehealth for private gain, or encouraging patients to bypass the platform for direct arrangements.
  • Not engage in unfair competition, client "poaching," or conduct that undermines the integrity of the platform, patient trust, or Lifecycle Telehealth's business relationships.

Violation of these obligations may result in immediate suspension or termination of provider access, without prejudice to Lifecycle Telehealth BV's right to seek legal remedies or damages.

VI. Fees and Payment

Patients are responsible for all fees associated with their consultations, prescriptions, and other Services. Payments are processed via approved third-party payment providers.

We reserve the right to update pricing or introduce new fees with notice.

VII. Data Protection & Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of your personal data in accordance with that policy.

We comply with GDPR (EU/UK) and HIPAA (US) where applicable.

VIII. Intellectual Property

All content, logos, and trademarks on the Services are the property of Lifecycle Telehealth BV or its licensors. You may not copy, reproduce, distribute, or create derivative works without our prior written permission.

IX. Limitation of Liability

To the maximum extent permitted by law, Lifecycle Telehealth BV and its affiliates are not liable for indirect, incidental, or consequential damages arising from your use of the Services.

We are not responsible for delays, interruptions, or errors caused by third-party providers, internet connectivity, or technical issues beyond our control.

X. Termination

We may suspend or terminate your access to the Services if you violate these Terms or applicable laws.

You may stop using the Services at any time. Provisions that should survive termination (e.g., liability limits, governing law) will remain in effect.

XI. Governing Law

For patients in the European Union and United Kingdom, these Terms are governed by EU and UK law respectively. For patients in other jurisdictions, applicable local laws apply.

Any disputes shall be subject to the exclusive jurisdiction of the courts where Lifecycle Telehealth BV is registered, unless mandatory patient protection laws require otherwise.

XII. Changes to the Terms

We may update these Terms from time to time. When updated, we will revise the Effective Date above. Significant changes will be notified to users where legally required.

XIV. Non-Solicitation

To protect the integrity of our platform and the interests of our patients and partners:

  • Providers agree not to solicit, divert, or attempt to solicit or divert any patient, client, or business opportunity introduced through the Lifecycle Telehealth platform, whether directly or indirectly, for their own benefit or the benefit of another party outside the platform.
  • Providers may not encourage patients to bypass the Lifecycle Telehealth platform for future consultations, prescriptions, or healthcare services.
  • This restriction applies during the provider's engagement with Lifecycle Telehealth BV and for a period of twelve (12) months following termination of such engagement.

Any breach of this provision may result in:

  • Immediate suspension or termination of access to the platform.
  • Liability for damages suffered by Lifecycle Telehealth BV, including lost revenue.
  • Legal action to enforce this clause.

Governing Law & Jurisdiction: This clause shall be governed by and construed in accordance with the laws of Belgium (where Lifecycle Telehealth BV is registered) and, where applicable, the United Kingdom for services delivered to UK patients. Any disputes arising from or related to this clause shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium, unless mandatory patient protection laws require otherwise.
